Manitoba Architectural Corporation Certificate of Approval

Agency:Manitoba Association of Architects (MAA)
Eligible Entity Types:
  • Corporations
Foreign Qualification is Prerequisite:Yes
Ownership Requirements:
  • A majority of directors and at least one officer of the corporation must be MAA-registered members
  • The beneficial ownership of the majority of voting shares of the corporation must be vested in MAA-registered Members
    • Beneficial Ownership of the majority of voting shares through another corporate entity is only permitted if the other entity also meets the requirements and obtains its own Certificate of Approval from MAA on an annual basis
Insurance Requirements:

Proof of professional liability insurance coverage in the minimum amount of $250,000.

Notes:
  • A business may not be conducted under a name that is the same or similar to another name being used by a valid entity that engages in the practice of architecture or architecture and engineering so that its use would (in the opinion of the registration board) deceive or confuse the public. The name cannot be misleading or unprofessional. 
  • The name or style that an entity carries on the practice of architecture shall include the word "architect" or an abbreviation, derivation, or variation thereof approved by the registration board.

The primary and customary business of the corporation must be architecture and must be conducted under the direct personal supervision and responsibility of one or more permanent employees or shareholders who are MAA-registered members.

  • Copy of proposed letterhead to be used by the corporation

  • $2,646.22 USD for 11+ registered members ($3,750 CAD)

There is also a $70.57 USD ($100 CAD) annual certificate of approval assessment fee

  • The principal of the architectural practice must be a MAA-registered member
  • No other individual may be associated with the principal of architectural practice

  • A business may not be conducted under a name that is the same or similar to another name being used by a valid entity that engages in the practice of architecture or architecture and engineering so that its use would (in the opinion of the registration board) deceive or confuse the public. The name cannot be misleading or unprofessional. 
  • The name or style that an entity carries on the practice of architecture shall include the word "architect" or an abbreviation, derivation, or variation thereof approved by the registration board.

  • The beneficial ownership of the majority of voting shares of the corporation must be vested in either Professional Engineers registered with APEGM or APEGM Professional Engineers and MAA-registered members.
    • Beneficial Ownership of the majority of voting shares within any of the individual corporate entities that is achieved through a holding company is only permitted if the holding company also meets the requirements and obtains its own Certificate of Approval from MAA on an annual basis
