Every agent must have a registered office—a physical address in New Mexico where they’ll be available during business hours to receive your correspondence. A registered office cannot be a P.O. box or mail forwarding service but an actual street address to which process servers can go to deliver notices.

You might miss the court hearing, which can lead to the judge ruling in the plaintiff’s favor. New Mexico Registered Agent Requirements

According to Section 53-11-11 of the New Mexico Statutes, a registered agent can be any of the following:

1. An individual residing in New Mexico
2. A domestic organization other than yours
3. A foreign organization authorized to transact in New Mexico

Still, an individual might not offer sufficient availability at the registered office due to other engagements, emergencies, and similar reasons. Any absence might expose you to the aforementioned risk of missing a notice and facing default judgment.

By contrast, organizations serving as registered agents typically have an entire team dedicated to accepting and forwarding official correspondence. Such organizations are often referred to as commercial registered agents, and they’re a far more reliable choice.

How To Appoint or Change a New Mexico Registered Agent

If you’re forming an organization in New Mexico for the first time, you’ll appoint a registered agent in your registration documents (Articles of Incorporation for profit and nonprofit organizations or Articles of Organization for LLCs).

Organizations expanding from other jurisdictions must appoint a registered agent in their foreign qualification documents as doing so is necessary for obtaining a certificate of authority.

Regardless of the situation, you must have an agent on file no later than 30 days after forming your organization, as per Section 53-11-12 of the New Mexico Statutes. If you fail to appoint an agent, the New Mexico secretary of state will issue a notice of delinquency via mail.

If the violation continues for more than 60 days after receiving the notice, you’ll receive a certificate of revocation. This is the equivalent of administrative dissolution and means you can no longer operate in New Mexico.

To change your existing registered agent, you need to submit a Registered Agent Change form, which you can do online through the secretary of state’s dedicated portal. Note that the aforementioned timelines and penalties also apply to changing the registered agent or updating the secretary of state on any changes to the current agent’s information.

Filing such updates is easier with a commercial registered agent since they can do it for all represented entities to spare you the time and manual work involved in the process.
