Beginning January 2025, business entities registered in Pennsylvania must file an annual report with the Pennsylvania Department of State Bureau of Corporations. The change was initiated on November 3, 2022, with the signing of 2022 Act 122.

This new requirement replaces the Commonwealth’s unique decennial report requirement. It also replaces the nonprofit corporation annual report requirement, which required nonprofits to file each year in which they had a change in officers. Nonprofit corporations will not need to file an annual report in 2023, but they will have a new annual report requirement starting in 2025.

What Is an Annual Report?

Annual reports are filings due to the secretary of state each year. This ensures the state has current information about your organization, such as its address and leadership. Most states also assess a filing fee.

Entities such as LLCs, corporations, and nonprofits, are required to file annual reports to maintain good standing. Almost every state has an annual report requirement of some kind.

Due dates, filing fees, and forms vary greatly by entity type and whether the entity is domestic or foreign to the state. Some states have biennial reports (due every two years). State due dates are also calculated on when your entity originally registers with the state.

With little consistency across jurisdictions, tracking deadlines and filing on time presents a challenge for organizations of all sizes. We offer Managed Annual Report Service to offload your annual reports. We track your due dates and file on time, every time.

What Is the Due Date for the New Pennsylvania Annual Report?

The deadline to file the new Pennsylvania annual report will vary based on the type of entity.

  • The due date for Corporations and Nonprofit Corporations will be June 30 of each year.
  • The due date for LLCs will be by September 30 of each year.
  • The due date for other entities will be by December 31 of each year.

Pennsylvania requires an entity to file its first annual report in the year after it registers with the Department of State  For example:

  • An LLC that registered on June 15, 2023, would have its first filing deadline on September 30, 2025.
  • An LLC that registered on June 15, 2024, would have its first filing deadline on September 30, 2025.

Keeping track of annual report deadlines across states and entities quickly becomes complex. Consider our Managed Annual Report Service to ensure your deadlines are tracked and filing obligations are met.

What Is the Filing Fee for the New Pennsylvania Annual Report?

The annual filing fee for corporations, LLCs, and limited liability partnerships (LLPs) is $7. There is no fee ($0) for nonprofit corporations.

What Information Is Required on the Pennsylvania Annual Report?

Pennsylvania’s annual report will require the following information:

  • The business entity name
  • The entity’s jurisdiction of formation
  • The name of at least one director, member, or partner
  • Names and titles of the principal officers
  • The address of the principal office
  • The entity number issued by the Pennsylvania Department of State

What Is the Impact on My Organization?

Like in every other state, entities are required to file the new Pennsylvania annual report to maintain good standing. Failure to file the report subjects the entity to administrative dissolution and can result in the loss of the right to use its name.

A proactive approach to maintaining good standing is more efficient and cost-effective than correcting lapsed registrations. All organizations, even those that register in a single state, should consider a fully managed solution to track due dates and file annual reports on time.
